NASSAU PLAYERS CLUB
BY-LAWS
As of December 1, 2016
Article I - NAME
The name of this golf club shall be NASSAU PLAYERS CLUB (“NPC”).
Article II - PURPOSE
Section 1. To stimulate interest in golf at Bethpage State Park by bringing together a group of golfers desirous of forming a golfing organization.
Section 2. To promote and foster among the members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions.
Section 3. To encourage conformance to the USGA Rules of Golf by creating a representative authority.
Section 4. To maintain a uniform system of handicapping as set forth in the USGA Handicap System and issue USGA Handicap Indexes to the members.
Section 5. To provide an authoritative body to govern and conduct club competitions.
Article III - MEMBERSHIP
Section 1. The fiscal year for NPC will be April 1st through March 31st.
Section 2. Membership shall be available to all persons 18 years of age or older. There shall be at least 10 members with a maximum membership of 100. The Board of Directors may, from time to time, allow for additional members if they deem having additional members is in the best interest of NPC.
Section 3. Membership in NPC is individual and non-transferable.
Section 4. Only golfers with a reasonable and regular opportunity to play golf with fellow members may be members of NPC.
Section 5. Memberships will be offered first to all previous year’s members in good standing.
Section 6. Members will be required to maintain a USGA handicap utilizing the GHIN Handicap System. Each member will be expected to have knowledge of, and adhere to, the USGA handicap guidelines.
Section 7. Membership confers no voice in the operation of the Bethpage State Park golf courses or any golf course, clubhouse nor any facilities of any golf course.
Section 8. Membership confers no special privileges in connection with any golf course.
Section 9. Membership in NPC is for one year only, with memberships running concurrently with NPC’s fiscal year and expiring on March 31st.
Section 10. New members will be accepted on a probationary basis with the probation period lasting one year.
Section 11. Each candidate for membership shall be sponsored by a non-probationary member in good standing, and co-sponsored by four other non-probationary members in good standing. Members are limited to sponsoring (including co-sponsoring) only one new member per year. The Membership Chairman shall be responsible for the vetting of each prospective member and shall put forth a slate of proposed new members to the Board of Directors for approval. A majority vote by the Board of Directors for each candidate is needed for admittance into NPC.
Section 12. The Board of Directors may confer honorary memberships upon those whom they feel have contributed to the advancement of golf. The unanimous affirmative vote of the Board shall be required to approve such action.
Section 13. Members will adhere to the NPC’s Code of Conduct. In the event any member of NPC commits any act, including acts not related to golf, which damages or discredits the reputation of NPC, such member shall be subject to suspension or expulsion immediately by majority vote of the Board of Directors. In addition, if any member refuses to comply with the club’s Code of Conduct or the rules and regulations of golf, such member shall be subject to suspension or expulsion immediately by majority vote of the Board of Directors. The member will have the right to be heard at a special Board of Directors meeting called by the Board of Directors for such purpose.
Section 14. The Annual Meeting of the general membership of NPC shall be held on the last Saturday of October. The Board of Directors may, from time to time, change the date of the Annual Meeting to avoid conflicts with holidays or other events. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable.
Section 15. A quorum at any meeting shall be twenty members present. Each active member in good standing shall be entitled to one vote. From time to time, the Board of Directors may conduct business, and resolve issues, through on-line votes using the internet.
Section 16. All membership fees and dues shall be established by the Board of Directors, from time to time, in such amounts as they deem to be adequate to operate and maintain the club. Members shall be liable for dues until their resignation has been formally received.
Article IV – BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of seven (7) members in good standing of NPC and they shall exercise all powers of management of NPC not specifically excepted by these By-Laws.
Section 2. At least two (2) weeks prior to the Annual Meeting, the Board of Directors shall post a list of nominees to fill any vacancies on the Board of Directors. Names of other members in good standing may be nominated by petition signed by at least ten (10) NPC members and submitted to the Board of Directors at least four (4) weeks prior to the Annual Meeting.
Section 3. Voting shall be conducted at the Annual Meeting and those names receiving the greatest number of votes cast shall be declared to be elected to the Board of Directors.
Section 4. The Board of Directors term of office shall commence immediately upon their election at the Annual Meeting and run until the election of the next slate of directors at the following Annual Meeting.
Section 5. The Board of Directors shall meet at such times and places as they may select and a majority of the Board shall constitute a quorum at any meeting.
Section 6. In the case of any vacancy through death, resignation, disqualification or other cause, the remaining Directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of his successor.
Article V - OFFICERS AND COMMITTEES
Section 1. Within ten (10) days after the Annual Meeting and election, the Board of Directors shall meet and elect the officers.
Section 2. The officers shall consist of President, Vice-President, Secretary, Treasurer, Tournament Chairman, Membership Chairman and Handicap Chairman. Their duties shall be such as their titles would indicate or such as may be assigned to them respectively from time to time.
Section 3. The Board of Directors shall authorize and define the powers and duties of all committees. Chairmen and members of all committees shall be appointed by the President, and the President shall be an ex-officio member of all committees.
Article VI - AMENDMENTS TO BY-LAWS
The Board of Directors shall have the power to repeal or amend any of these By-Laws provided that such action shall not be effective until approved by a majority of a quorum of members at the Annual Meeting or approved by a special on-line vote utilizing the internet.
